The maths of a post-money SAFE

A post-money SAFE fixes the investor's ownership at conversion against a valuation that already counts every SAFE:

  • Ownership at conversion = amount ÷ post-money valuation cap
  • All SAFEs together = the sum of those ownerships
  • Founders and existing holders = 100% minus the SAFEs

For example, $500,000 at a $8,000,000 post-money cap converts to 6.25%. Because each SAFE is measured against its own post-money cap, adding a second SAFE dilutes the founders, not the first SAFE investor.

Then a priced round

When a priced round follows, the SAFEs convert first, then the new money dilutes everyone by the same factor:

  • New investors = new money ÷ (pre-money valuation + new money)
  • Everyone else keeps their share × pre-money ÷ (pre-money + new money)

If the round's pre-money valuation is below a SAFE's cap, that SAFE converts at the round's valuation instead, and the table marks it. The calculator leaves out discounts, option pool top-ups and pro rata rights, so treat its answer as a first pass for a conversation with your lawyer.

Four currencies, one answer

Ownership is a ratio, so the currency never changes it. Switching between SAR, AED, QAR and USD converts your figures at the dollar pegs (3.75 SAR, 3.6725 AED, 3.64 QAR to the dollar) so the scenario stays the same, and every figure shows its dollar value beside it.

Then find the investors

Knowing what a SAFE costs you is half the round. The Startup hub ranks 40,000+ investors and funds against your raise, lists 1,200+ ways to apply with a tracker, and keeps a runway calculator beside them. Work out how long your cash lasts with the runway calculator, or size the outreach with the raise pipeline calculator.

Frequently asked questions

Is the SAFE calculator legal or financial advice?

No. It shows the arithmetic of a post-money SAFE so you can model a round before you pitch it. Talk to your lawyer or financial adviser before you sign anything.

How is a post-money SAFE's ownership worked out?

Divide the amount by the post-money valuation cap. Because the cap already counts every SAFE, each investor's share at conversion is fixed when they sign, and a later SAFE dilutes the founders rather than the earlier SAFE investors.

What happens to the SAFEs in a priced round?

They convert first, at their cap or at the round's valuation if that is lower, and then the new money dilutes everyone by pre-money ÷ (pre-money + new money). Tick the priced round to see both splits side by side.

Which currencies does it use?

SAR, AED, QAR and USD. Switching converts your figures at the dollar pegs (3.75 SAR, 3.6725 AED, 3.64 QAR), so the ownership never changes with the currency.

Does the calculator store or send what I type?

No. The arithmetic runs in your browser. Nothing you enter is stored, sent or logged.
